Terms of Service

01 Acceptance

By accessing or using our website, products, or services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use our services.

02 Use of services

We grant you a limited, non-exclusive, non-transferable right to use our services in accordance with these Terms. You agree to:

• Use the services only for lawful purposes and in compliance with all applicable laws and regulations.
• Not interfere with, disrupt, or attempt to gain unauthorized access to our systems or networks.
• Not reverse engineer, copy, or create derivative works from our products except as permitted by law.
• Not use the services to transmit malicious code, infringing content, or anything that violates the rights of others.

We may suspend or terminate access if these Terms are violated or to protect the integrity and security of our services.

03 Accounts

Some features require an account. You are responsible for the accuracy of the information you provide, for safeguarding your credentials, and for all activity that occurs under your account. Notify us promptly at hello@incipientcorp.com if you suspect any unauthorized use. We may disable accounts that are inactive, that pose a security risk, or that are used in breach of these Terms.

04 Intellectual property

The services, including all software, designs, text, graphics, and the Incipient name and marks, are owned by Incipient Corp or its licensors and are protected by intellectual property laws. Except for the limited rights granted here, nothing in these Terms transfers any ownership to you.

Ownership of deliverables created in a professional engagement is determined by the signed agreement for that engagement. Content you provide to us remains yours, and you grant us the rights necessary to provide the services.

05 Confidentiality

Each party may receive information that is confidential or proprietary to the other. The receiving party agrees to protect such information with the same care it uses for its own confidential information, to use it only to perform under these Terms or a related agreement, and not to disclose it except to those who need it and are bound by similar obligations. These obligations do not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

06 Disclaimers

Our services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or completely secure. You use the services at your own discretion and risk. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.

07 Limitation of liability

To the maximum extent permitted by law, Incipient Corp and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the services, even if advised of the possibility of such damages. Our total aggregate liability for any claim relating to the services is limited to the amount you paid to us for the service giving rise to the claim during the twelve months preceding the claim, or, where no amount was paid, to the maximum extent permitted by applicable law.

08 Governing law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles. You and Incipient Corp agree that the state and federal courts located in New Jersey will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the services, and you consent to personal jurisdiction in those courts.

09 Changes

We may update these Terms from time to time. When we make material changes, we will revise the date at the top of this page and, where appropriate, provide additional notice. Your continued use of the services after changes take effect means you accept the updated Terms. If you do not agree to the changes, stop using the services.
